Terms and Conditions
These conditions set out the agreement between you and Unified Silk Godo Kaisha ("Unified Silk", "we") once a consultation has been agreed. They sit alongside the Terms of Service, which also say what Unified Silk does not do.
1. Forming the engagement
- An engagement starts when we send a written scope (what is covered, the timeframe, the fee and whether tax is included) and you accept it by reply.
- If the person writing to us is not the owner of the store, they confirm that they can bind the business.
- Anything outside the written scope needs a fresh written agreement. A price discussed by email or phone is not an agreement until the written scope has been accepted.
2. What you provide
- Accurate and complete documents. If something changes after you send it, tell us.
- Only material you are entitled to share. Where it contains your customers' details, mask what the question does not need.
- Replies within a reasonable time. If we have waited fourteen days for material or an answer, we may pause the timeframe or close the engagement.
- The decision whether to use any wording. How your store complies with the law remains your responsibility, not ours.
3. Fees, changes and withdrawal
- The fee is the amount in the written scope, invoiced as that scope says.
- If you withdraw before we start work, no fee is due. If you withdraw after work has started, the fee covers the work done to that point, which we will itemise.
- If we pause or end an engagement for a reason on our side, we refund the part of the fee for work not delivered.
- Subscription Terms Drafting includes one round of revision. A further round is a separate agreement.
- A fee is not refunded because you chose not to use the delivered wording, or because a customer, an authority or a court later decided differently from our reading.
4. Confidentiality
- We treat the documents and facts you share as confidential and use them only for your engagement.
- We disclose them only where a law requires it or you have agreed.
- We do not name clients publicly. Confidentiality continues after the engagement ends.
- If you ask us to delete or return your documents earlier than the Privacy Policy says, we do so within fourteen days, except for records the law obliges us to keep.
5. Limits of responsibility
- Our responsibility for a consultation is limited to the fee paid for it. That limit does not apply to harm we cause intentionally or through gross negligence, or where the law does not allow a limit.
- We are not responsible for what others decide: how a customer, a consumer affairs office, a marketplace or a court responds.
- Findings are only as accurate as the material provided.
- Neither side is responsible for delay caused by events beyond reasonable control, such as disasters or network failures.
- Nothing here limits a right that a consumer has under Japanese consumer protection law and that cannot be waived by contract.
6. Delivery and follow-up
- Reports, summaries and drafts are delivered as a document sent to the email address you wrote from, unless the written scope says otherwise.
- If a point in a delivered document is unclear, or something the scope promised is missing, tell us within fourteen days. We clarify it or supply it at no extra charge.
- Questions that go beyond the delivered document, such as a new complaint or a changed checkout flow, are treated as a new engagement.
7. Communication and transfer
- We write to the email address you used, and you write to info@unifiedsilk.com. A message counts as received on the next business day after it is sent.
- Neither side may transfer the engagement to someone else without the other's written consent.
- We do not hand your documents to anyone outside Unified Silk other than the service providers described in the Privacy Policy.
8. What makes up the agreement
- The written scope and these conditions, together with the Terms of Service, are the whole agreement for the engagement.
- If they conflict, the written scope decides what is covered, when and for how much, and these conditions decide everything else.
9. Law and disputes
- Japanese law governs these conditions and the engagement.
- We first try to settle any disagreement by talking it through, in writing or by phone.
- If that fails, the Kanazawa District Court is the exclusive court of first instance, except where the law gives a consumer a different court.
- If part of these conditions cannot be enforced, the rest still applies.
- We may update these conditions; the version in force when the engagement is agreed governs it. Last revised: 19 October 2026.
